Remember that just because there is something in a declaration of intent does not mean that the agreement is final. Either Party may choose at any time to terminate the negotiations without legal implications. This agreement is most often used in transactions involving a purchase. Sometimes two parties know they want to make a deal together, but they are not ready to sign an actual agreement.
